Terms of Service

Please read these terms carefully before using Tieunity's products and services. By using our platform, you agree to these terms and conditions.

1. Acceptance of Terms

By accessing, registering for, or using any of Tieunity's products, services, or platforms (collectively referred to as "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy and any additional policies or guidelines referenced herein. These Terms apply to all users, including individuals, businesses, and other legal entities.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Tieunity ("Tieunity," "we," "us," or "our"), a company incorporated under the Companies Act, 2013, with its registered office at 5th Floor, Tower B, Logix Cyber Park, Sector 62, Noida, Uttar Pradesh 201309, India. If you are using our Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree with any part of these Terms, you must discontinue use of our Services immediately and, if applicable, request deletion of your account. Your continued use of the Services following any modifications to these Terms constitutes acceptance of the revised Terms. We reserve the right to update these Terms at any time, and we will notify users of material changes via email or in-platform notification at least 15 days prior to the effective date.

2. Description of Services

Tieunity provides a suite of enterprise technology products and services designed for businesses operating in the jewellery, finance, retail, and allied sectors in India. Our core offerings include: (a) Unity HRMS — a comprehensive Human Resource Management System covering employee lifecycle management, attendance tracking, payroll processing, leave management, performance reviews, and workforce analytics; (b) Tie Key Locker — a smart device management platform featuring remote lock/unlock controls, GPS tracking, EMI calculation and tracking, biometric authentication, camera monitoring, and geofencing capabilities; and (c) ancillary professional services including web development, mobile app development, quality assurance, and digital marketing solutions.

Our Services are provided on a subscription basis, unless otherwise specified in a separate commercial agreement. The specific features, functionalities, user limits, and storage allocations applicable to your use of the Services are determined by the subscription plan you have selected. We reserve the right to modify, suspend, or discontinue any aspect of the Services with reasonable prior written notice (minimum 30 days for material changes) to allow you to adjust your operations accordingly.

Certain features of our Services may require integration with third-party systems or platforms, including but not limited to Tally ERP, banking APIs, e-way bill systems, and communication gateways (SMS, WhatsApp, email). While we strive for seamless compatibility and provide integration documentation and support, we do not guarantee uninterrupted operation of integrations with third-party services. We are not liable for any issues, data loss, or service disruptions arising from changes, updates, or discontinuations made by those third parties.

3. User Obligations

  • Account SecurityYou are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Tieunity of any unauthorised use of your account or any other breach of security. You agree to use strong passwords (minimum 8 characters, including uppercase, lowercase, numbers, and special characters) and to enable two-factor authentication (MFA) as an additional security measure.
  • Accurate InformationYou agree to provide accurate, current, and complete information during registration and to keep this information updated. Providing false or misleading information may result in suspension or termination of your account and access to the Services. You must promptly update your account details (email, phone, billing address) through the account settings or by contacting our support team.
  • Compliant UseYou agree to use the Services only for lawful purposes and in accordance with these Terms, applicable Indian laws, and any industry-specific regulations applicable to your business (e.g., RBI guidelines for NBFCs, BIS standards for jewellery businesses). You shall not use the Services in any way that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party's use and enjoyment of the Services.
  • Prohibited ActivitiesYou shall not attempt to gain unauthorised access to any portion of the Services, other user accounts, or any systems or networks connected to our Services. Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of our software is strictly prohibited. You shall not use automated scripts, bots, or scraping tools to extract data from the platform without prior written consent.
  • Data ResponsibilityYou retain ownership of the data you input into our Services. You are solely responsible for ensuring that your data does not infringe upon the rights of any third party (including intellectual property rights, privacy rights, and confidentiality obligations) and that you have obtained all necessary consents and permissions required for processing your data through our platform, including employee consent for HRMS data processing.

4. Intellectual Property

All intellectual property rights in the Services, including but not limited to software source code, object code, designs, logos, trademarks (including "Tieunity," "Unity HRMS," "Tie Key Locker"), service marks, trade names, graphics, user interfaces, documentation, training materials, and any other content provided by Tieunity, are owned by or licensed to Tieunity These rights are protected by Indian and international intellectual property laws, including the Copyright Act, 1957, the Trade Marks Act, 1999, and applicable international treaties.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during the term of your subscription. This licence does not include the right to modify, distribute, sell, lease, sublicense, create derivative works based on, or otherwise exploit the Services or any portion thereof, except as expressly permitted in writing by Tieunity. Any customisations, configurations, or integrations developed by Tieunity specifically for your account remain the intellectual property of Tieunity unless otherwise agreed in a separate written agreement.

You may not remove, alter, or obscure any proprietary notices, labels, or marks displayed on or within the Services. You shall not use Tieunity's trademarks, service marks, or logos in any marketing materials, advertisements, or public communications without our prior written approval. Any feedback, suggestions, or ideas you provide regarding the Services may be used by Tieunity without any obligation of compensation or attribution to you.

5. Payment Terms

  • Subscription FeesSubscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All prices are quoted in Indian Rupees (INR) unless otherwise specified in a commercial agreement. Prices are exclusive of applicable taxes (GST at prevailing rates as per the Goods and Services Tax Act, 2017), which will be added to your invoice as required by law. GST invoices will be issued to the billing address provided in your account.
  • Payment MethodsWe accept payments through bank transfers (NEFT/RTGS/IMPS), credit cards, debit cards, UPI, and other electronic payment methods as made available on our platform. All payment transactions are processed through secure, PCI DSS Level 1-compliant payment gateways to ensure the safety of your financial information. Payment instructions and bank account details for NEFT/RTGS transfers are provided on the invoice and in the billing section of your dashboard.
  • Auto-RenewalAnnual subscriptions are automatically renewed at the then-current subscription rates at the end of each subscription period unless you cancel at least 30 days before the renewal date. We will send a renewal reminder notification to your registered email address at least 45 days prior to the renewal date. You can manage your auto-renewal settings and view upcoming renewal dates through your account dashboard. Failure to receive a renewal reminder does not waive your obligation to pay for the renewed period.
  • Late PaymentInvoices are due within 15 days of the invoice date unless otherwise specified. Late payments may attract interest at the rate of 18% per annum (1.5% per month) calculated from the due date until the date of actual payment. Persistent failure to pay (beyond 60 days overdue) may result in suspension of Services without further notice. We reserve the right to recover late payment charges, collection costs, and legal expenses incurred in recovering overdue amounts.
  • Refund PolicySubscription fees are non-refundable once the subscription period has commenced, except in cases of service disruption caused solely by Tieunity lasting more than 72 consecutive hours. Refund requests must be submitted within 7 days of the qualifying disruption. For annual plans cancelled within the first 15 days of the subscription period, a prorated refund (minus processing fees of 5%) may be issued at Tieunity's sole discretion. No refunds are provided for unused portions of partially completed subscription periods.

6. Service Level Agreement (SLA)

Tieunity commits to maintaining a minimum uptime of 99.9% for all core Services (Unity HRMS and Tie Key Locker cloud platform), measured on a monthly basis. Uptime is defined as the percentage of time during which the Services are accessible and fully functional, excluding scheduled maintenance windows. Scheduled maintenance is performed during low-traffic hours (typically between 11:00 PM IST and 5:00 AM IST) and advance notice of at least 48 hours is provided via email and in-platform notification.

In the event that the actual monthly uptime falls below the committed 99.9% level due to causes solely attributable to Tieunity (excluding force majeure events, third-party failures, and customer-side issues), affected customers will be entitled to service credits as follows: uptime below 99.5% but above 99.0% — 10% credit on the affected month's invoice; uptime below 99.0% but above 98.0% — 20% credit; uptime below 98.0% — 30% credit. Service credits must be claimed within 30 days of the affected billing period and are applied as a discount to the next invoice. Service credits are the sole and exclusive remedy for SLA breaches.

Critical support issues (defined as complete service outage or severe data integrity risk) are committed to initial response within 2 hours during business hours (Monday to Saturday, 9:00 AM to 7:00 PM IST) and resolution within 8 hours. High-priority issues (significant feature unavailability) receive initial response within 4 hours and resolution within 24 hours. Standard issues (non-critical bugs, feature requests) are addressed within 48 hours during business days.

7. Limitation of Liability

To the maximum extent permitted by applicable Indian law, including but not limited to the Indian Contract Act, 1872, Tieunity shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, revenue, or anticipated savings, arising out of or related to your use of or inability to use the Services, regardless of the legal theory under which such damages are sought (whether in contract, tort, negligence, strict liability, or otherwise).

Tieunity's total aggregate liability arising out of or related to these Terms (whether in contract, tort, or otherwise) shall not exceed the total amount of fees actually paid by you to Tieunity during the twelve (12) months immediately preceding the event giving rise to the claim, or INR 10,00,000 (Ten Lakh Rupees), whichever is greater. This limitation applies to the fullest extent permitted by applicable law and shall survive the termination or expiration of these Terms.

Tieunity does not warrant that the Services will be uninterrupted, error-free, or completely secure. While we strive to maintain high availability and employ industry-standard security measures, we do not guarantee 100% uptime or absolute immunity from security threats. Temporary interruptions may occur due to scheduled maintenance, system upgrades, network issues, or circumstances beyond our reasonable control, including force majeure events (natural disasters, pandemics, government actions, war, terrorism, or civil unrest).

8. Indemnification

You agree to indemnify, defend, and hold harmless Tieunity, its affiliates, directors, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and professional costs) arising out of or related to: (a) your breach of any provision of these Terms; (b) your use of the Services in a manner not authorised or contemplated by these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any content, data, or materials you input, upload, or transmit through the Services; and (e) any claims by your employees, contractors, or agents arising from data processing through our Services.

Tieunity will notify you promptly of any claim for which we seek indemnification and will provide you with reasonable cooperation in the defence of such claim. You shall not enter into any settlement that admits liability or imposes obligations on Tieunity without our prior written consent. Tieunity reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you.

9. Termination

Either party may terminate these Terms by providing written notice to the other party. In the case of termination by the User, access to the Services will continue until the end of the current billing period (for prepaid plans) or until 30 days from the notice date (for annual plans), after which the account will be deactivated. Upon termination, you will remain liable for all fees accrued prior to the termination date, including any usage-based charges incurred during the notice period.

Tieunity reserves the right to suspend or terminate your account immediately, without prior notice, if you breach any material provision of these Terms, engage in fraudulent, abusive, or illegal activities, fail to pay overdue invoices for more than 60 days, or if continued use of the Services by you may cause harm to Tieunity, other users, or third parties. Upon immediate termination for cause, no refund of prepaid fees will be provided.

Upon termination or expiration of your subscription, your right to use the Services will cease. Tieunity will provide you with a reasonable opportunity (30 days from the termination date) to export your data from the platform in a standard, machine-readable format at no additional cost. After this period, we may delete your data in accordance with our Privacy Policy and data retention schedule, except where retention is required by applicable Indian law (e.g., financial records under the Income Tax Act, 1961 for 8 years; KYC documents under RBI guidelines for 5 years).

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Gautam Buddha Nagar (Noida), Uttar Pradesh, India. Both parties consent to the personal jurisdiction and venue of these courts and waive any objection to the inconvenience of such forum.

11. Dispute Resolution

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute arising out of or related to these Terms through good-faith negotiation. The aggrieved party shall provide written notice of the dispute to the other party, and the parties shall attempt to resolve the matter within 30 days of such notice through discussions between senior management representatives of each party.

If the dispute cannot be resolved through negotiation within 30 days, either party may pursue mediation through a mutually agreed-upon mediator in Noida, Uttar Pradesh. The costs of mediation shall be borne equally by both parties unless otherwise agreed. If mediation fails to resolve the dispute within 60 days, either party may initiate arbitration proceedings under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, and the seat and venue of arbitration shall be Noida, Uttar Pradesh, India. The arbitral tribunal shall consist of a sole arbitrator appointed jointly by both parties, or failing agreement within 30 days, by the Chief Justice of the High Court of Allahabad.

Notwithstanding the foregoing, either party may seek interim injunctive relief or other provisional remedies from a court of competent jurisdiction in Gautam Buddha Nagar, Uttar Pradesh, to prevent irreparable harm or to preserve the status quo pending the completion of the dispute resolution process described above.

12. Modifications to Terms

Tieunity reserves the right to modify, amend, or update these Terms of Service at any time. For material changes that significantly affect your rights or obligations (such as changes to pricing, data usage, liability limitations, or termination provisions), we will provide at least 15 days' advance written notice via email to your registered address and/or a prominent in-platform notification. Non-material changes (such as corrections of typographical errors, updates to contact information, or clarifications of existing provisions) may be made without advance notice.

Your continued use of the Services after the effective date of any modified Terms constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must discontinue use of the Services and request account deletion within the notice period. For annual subscription holders, if material changes are made that are unacceptable to you, you may terminate your subscription within 15 days of receiving notice of the changes and receive a prorated refund of any prepaid fees for the unused portion of the subscription period.

We will maintain an archive of previous versions of these Terms on our website. Upon request, we will provide you with a copy of the version of these Terms that was in effect at the time of any specific transaction or during any specific period. In the event of any conflict between a translated version of these Terms and the English original, the English version shall prevail.
